These Terms of Service govern your use of the Monalisa platform. By accessing or using our services, you agree to be bound by these terms.
1. Definitions
"Platform" refers to the Monalisa marketplace accessible at monalisataste.com and all related services. "Producer" refers to any Italian food producer registered on the platform. "Buyer" refers to any business entity purchasing products through the platform. "User" refers to any person or entity accessing the Platform.
2. Platform Usage
The Platform is designed for B2B transactions between food producers and professional buyers. Users must be registered businesses with valid commercial credentials. Personal consumer purchases are not supported. Users must provide accurate and complete registration information and maintain the confidentiality of their account credentials.
3. Orders and Transactions
All orders placed through the Platform constitute binding commercial agreements between Buyers and Producers. Prices are listed in EUR and may be subject to VAT and import duties depending on the destination country. Minimum order quantities (MOQ) are set by individual Producers. The Platform facilitates transactions but is not a party to the commercial agreement between Buyer and Producer.
4. Payments and Commissions
The Platform supports bank transfer and online payment methods. A service commission may be applied to transactions. Payment terms, including advance payments and credit terms, are established between Buyer and Producer. The Platform may offer escrow services to protect both parties during transactions.
5. Shipping and Delivery
Producers are responsible for packaging and shipping products according to applicable food safety regulations. Incoterms rules apply as agreed between parties. The Platform facilitates logistics coordination but is not responsible for shipping delays or damages during transit. Temperature-controlled shipping requirements must be respected for perishable goods.
6. Dispute Resolution
In case of disputes between Buyers and Producers, the Platform provides a mediation service. Users agree to attempt resolution through the Platform's dispute system before pursuing legal action. The Platform's decisions in dispute resolution are advisory and non-binding. For unresolved disputes, the competent jurisdiction is the Court of Milan, Italy.
7. Intellectual Property
All content on the Platform, including but not limited to logos, designs, text and software, is owned by Monalisa or its licensors. Producers retain ownership of their product images, descriptions and trademarks. Users may not reproduce, distribute or modify Platform content without written permission.
8. Limitation of Liability
The Platform is provided on an "as is" basis. Monalisa is not liable for indirect, incidental or consequential damages arising from use of the Platform. Total liability shall not exceed the commissions paid by the User in the 12 months preceding the claim. The Platform does not guarantee the quality, safety or legality of products listed by Producers.
